Terms of Service
Last updated: 1 October 2026
These terms govern the services Netics provides to professional clients: infrastructure, cloud, automation and AI projects, audits and related support. They apply to every engagement, together with the quote or statement of work for that engagement, which takes precedence on any point where they differ. Netics works exclusively with businesses and professionals, not with consumers.
1. Provider
Netics, a company currently being registered, represented by Taha Echakiri, Paris, France. Contact: [email protected]. Registration and VAT details are stated on each quote and invoice.
2. Quotes and orders
A first call to understand your needs is free and without commitment. Each engagement is then described in a written quote stating its scope, deliverables, schedule and price. A quote is valid for 30 days. The engagement starts once the quote is accepted in writing and, where the quote provides for it, once the deposit has been received.
3. How we work
Netics commits to carrying out the services with care and in line with professional standards (obligation of means), unless a quote explicitly sets a result to be achieved. Schedules are given in good faith and depend on the information and access you provide. Any change in scope is agreed in writing and may adjust the price and schedule.
4. Your commitments
You agree to provide in good time the information, access and accounts needed for the engagement, to hold the licences for the software and services you ask us to work on, and to keep up-to-date backups of your data before any intervention on your systems. You remain responsible for the data you entrust to us and for its lawfulness.
5. Acceptance of deliverables
You have 10 working days after a deliverable is handed over to report in writing any non-conformity with the quote. Without a reasoned report within that time, the deliverable is considered accepted. Reported non-conformities are corrected within a reasonable time at no extra cost.
6. Prices and payment
Prices are stated in euros, excluding taxes. Applicable taxes are added according to the rules in force on the invoice date. Unless the quote says otherwise, invoices are payable within 30 days of their date, by bank transfer.
Any late payment automatically gives rise to late payment penalties at three times the French legal interest rate, plus a fixed recovery fee of 40 euros (article L441-10 of the French Commercial Code), without any reminder being necessary. Netics may also suspend the services after a formal notice that remains unanswered for 8 days.
7. Intellectual property
Once paid in full, the deliverables created specifically for you (configurations, documentation, workflows, code written for your project) become yours. Netics keeps the rights to its pre-existing tools, methods, templates and generic components, and grants you a permanent right to use those included in your deliverables. Open-source components remain subject to their own licences.
8. Confidentiality
Each party keeps confidential the information it receives from the other during the engagement and uses it only for that engagement. This obligation lasts for the engagement and for 3 years after it ends.
9. Personal data
When Netics processes personal data on your behalf as part of an engagement, it acts as your processor under article 28 of the GDPR, and a data processing agreement is signed if needed. The data collected through our websites is covered by our Privacy Policy.
10. Third-party services and AI
Our solutions may rely on third-party services (cloud providers, APIs, AI models), which remain subject to their own terms, prices and availability. Netics cannot be held responsible for their outages or changes. Content produced by AI systems can contain errors: you remain responsible for checking it before use, and decisions with significant effects on people must keep a human review.
11. Liability
Netics is liable only for proven direct damage resulting from its fault. Its total liability for an engagement is limited to the amounts paid for that engagement over the last 12 months. Indirect damage, such as lost profit, revenue, data or business, is excluded. These limits do not apply in case of gross negligence or wilful misconduct.
12. Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of article 1218 of the French Civil Code. If the event lasts more than 30 days, either party may end the engagement without compensation.
13. Duration and termination
Recurring services (support, maintenance, hosting) can be ended by either party with 30 days' written notice. If a party seriously breaches its obligations and does not remedy it within 15 days of a written notice, the other party may terminate the engagement. Work carried out up to the termination date remains payable.
14. References
Netics only mentions a client's name or project as a reference with that client's prior written agreement.
15. Governing law and disputes
These terms are governed by French law. The parties will first seek an amicable solution. Failing that, any dispute will be brought before the competent courts of Paris, France.
16. Changes
These terms may be updated. The version that applies to an engagement is the one in force on the date its quote is accepted.
